General Agreement of Sell

These General Terms and Conditions of Sale (hereinafter "GTC") apply to all sales of products concluded between INOV SOLUTION (hereinafter "the Seller") and any professional buyer (hereinafter "the Buyer").

1. General Provisions

These GTC apply to all sales of electronic products (new and used) offered by InovSolution. By placing an order, the Buyer acknowledges having read these GTC and accepts them without reservation. These conditions prevail over any other document issued by the Buyer, including their own general terms of purchase.

2. Orders

Orders are placed via our official communication channels (WhatsApp, Email). An order is only considered final after written confirmation from the Seller and, if applicable, receipt of the deposit or full payment as agreed.

InovSolution reserves the right to refuse any order for legitimate reasons, particularly if there is a payment dispute or if the products are out of stock.

3. Pricing and Payment

Prices are quoted in Euros (EUR) or USD depending on the invoice, excluding taxes and shipping costs, unless otherwise stated. Prices are subject to change based on market conditions, but the price invoiced will be the one in effect at the time of order confirmation.

Payment terms are defined on the invoice. Unless agreed otherwise, full payment is required before shipment. Accepted payment methods typically include bank transfer.

4. Shipping and Delivery

Delivery times are given for information purposes only and are not guaranteed. Delays in delivery do not entitle the Buyer to claim damages or cancel the order.

Risks are transferred to the Buyer as soon as the goods leave our warehouse (Ex Works) or upon handover to the carrier, depending on the agreed Incoterm.

5. Products and Grading

We sell both new and used electronics. Used devices are graded according to our internal standards (Grade A, B, C, etc.). The Buyer acknowledges that used products may show signs of wear consistent with their grade. We strive to describe the condition of products as accurately as possible.

6. Warranty and Returns

New Products: Benefit from the manufacturer's warranty where applicable.

Used Products: Are sold with a limited warranty period (typically 30 days) covering functional defects only. Cosmetic defects consistent with the sold grade are not covered.

To claim a warranty return (RMA):

  • The Buyer must notify InovSolution within the warranty period.
  • Returns must be authorized by InovSolution.
  • Products must be returned in the same condition as received, with all accessories (if any).
  • Shipping costs for returns are generally the responsibility of the Buyer unless the product is confirmed defective upon receipt (DOA).

7. Retentions of Title

The products remain the property of InovSolution until full payment of the price has been received.

8. Liability

InovSolution's liability is limited to the value of the products sold. We shall not be liable for any indirect damages, loss of business, or loss of data.

9. Applicable Law and Jurisdiction

These GTC are governed by French law. Any dispute relating to their interpretation or execution shall be subject to the exclusive jurisdiction of the competent courts within the jurisdiction of the Seller's registered office (France).
